Ad Grants Pilot IP Policy

This policy explains how intellectual property related to the Ad Grants Pilot service is owned, licensed, and may be used by companies that subscribe to or white-label the service (“Participants”).
1. Purpose and Scope
This policy explains how intellectual property related to the Ad Grants Pilot service is owned, licensed, and may be used by companies that subscribe to or white-label the service (“Participants”). It exists to protect Givepact, Inc.’s rights in the Ad Grants Pilot name, trademarks, branding, copyrights, software, documentation, and other intellectual property (collectively, Ad Grants Pilot IP), while permitting Participants to operate and market white-label services under defined terms.
This policy applies to all companies and their employees, agents, contractors and affiliates that receive access to Ad Grants Pilot software, materials, branding assets, documentation or non-public information through any commercial arrangement with Givepact, Inc. or its authorized distributors.
2. Definitions
- Ad Grants Pilot IP: All trademarks, trade names, logos, domain names, copyrights, software (including source and object code), design, documentation, know-how, processes, templates, and any other intellectual property created by or for Givepact, Inc. in connection with the Ad Grants Pilot product or service.
- White-label: The practice of a Participant presenting or reselling Ad Grants Pilot functionality under the Participant’s brand, subject to these rules.
- Non-public materials: Confidential or internal documentation, source code, roadmaps, pricing models, sample contracts, and other materials not publicly posted by Givepact, Inc.
3. Ownership
Givepact, Inc. is and will remain the sole owner of all right, title, and interest in and to the Ad Grants Pilot IP. No ownership rights are transferred to Participants by access to, use of, or receipt of any Ad Grants Pilot materials except as expressly granted in this policy or a written agreement signed by an authorized representative of Givepact, Inc.
4. Permitted Uses
Subject to the terms below and any separate written agreement, Participants are granted a limited, non-exclusive, non-transferable, revocable license to:
- Use the Ad Grants Pilot software and services to operate their business and to provide services to their customers.
- Customize user-facing interfaces and outputs to reflect the Participant’s brand, provided such customizations do not misrepresent ownership of Ad Grants Pilot IP.
- Use provided documentation, marketing materials, and APIs to integrate and support service delivery, when such use follows the attribution and branding rules in this policy.
- Make a reasonable number of internal copies of non-public materials for backup and operational purposes, provided confidentiality obligations are observed.
5. Prohibited Uses
Participants must not:
- Remove, obscure, or alter any Ad Grants Pilot trademark, copyright, or other proprietary notice appearing in the product, documentation, or other materials, except as expressly allowed in the attribution rules below.
- Claim ownership of or register any trademarks, domain names, business names, or logos that are confusingly similar to Ad Grants Pilot or Givepact, Inc. marks.
- Copy, modify, decompile, reverse engineer, disassemble, or create derivative works of any Ad Grants Pilot software or proprietary code except to the extent expressly permitted in a written agreement.
- Distribute, sublicense, or resell Ad Grants Pilot source code or non-public materials except as authorized in writing by Givepact, Inc.
- Use Ad Grants Pilot IP in a manner that disparages Givepact, Inc. or harms its reputation or that of the Ad Grants Pilot product.
- Disclose non-public materials to third parties except under a written confidentiality agreement no less protective than this policy.
Any of the above is a material breach of this policy and may result in suspension of access under Section 8 and remedies under Section 9.
6. White-Labeling, Attribution & Co-Branding Rules
Participants may present the service as their own to end users (white-label) only if they comply with the following:
- If a Participant fully white-labels (no public reference to Ad Grants Pilot), the Participant must include a clear, discrete internal attribution for compliance purposes (e.g., “Powered by Ad Grants Pilot” or other phrasing approved in writing by Givepact, Inc.) in a location visible to administrators and to Givepact, Inc. for audit. This attribution need not be prominent to end users unless otherwise agreed.
- If a Participant co-brands or publicly references the underlying platform, any public trademark or logo use must follow Givepact, Inc.’s brand guidelines and receive prior written approval for layout, color, and context.
- Any marketing copy that references the relationship with Givepact, Inc. must be accurate and must not imply ownership, partnership, or endorsement beyond the actual relationship — for example: “Service provided using the Ad Grants Pilot platform, operated by [Participant Name]” or other approved wording.
- Participants may not register derivative domain names or marks that incorporate Ad Grants Pilot trademarks without written permission.
7. Confidentiality
Participants must treat all non-public materials and information received from Givepact, Inc. as confidential and protect them with at least the same degree of care used to protect their own confidential information, but no less than reasonable care. Confidential materials may be used solely for the purpose of operating the Participant’s business under this policy and must not be disclosed outside the Participant except to employees, agents, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as this policy.
Confidentiality obligations survive termination of the Participant’s access to Ad Grants Pilot IP for three (3) years, or for such longer period as required by applicable law or contract.
8. License Scope, Duration, and Termination
The license granted under this policy is limited as described above and continues until terminated. Givepact, Inc. may terminate or suspend the license and access to Ad Grants Pilot materials immediately upon written notice if the Participant:
- Materially breaches this policy and fails to cure within ten (10) business days after written notice, or
- Uses Ad Grants Pilot IP in any unlawful manner or in a way that, in Givepact, Inc.’s reasonable judgment, harms Givepact, Inc. or the Ad Grants Pilot brand.
On termination, the Participant must immediately cease all uses of the Ad Grants Pilot trademarks and other IP as directed by Givepact, Inc., return or destroy all non-public materials and confirm destruction in writing, and discontinue any marketing claims inconsistent with the termination. Termination does not relieve the Participant of obligations that accrued prior to termination, including payment obligations, confidentiality, and any indemnity or warranty obligations.
9. Remedies and Enforcement
Participants agree that a breach of this policy may cause irreparable harm to Givepact, Inc. for which monetary damages may be inadequate. In addition to any other available remedies, Givepact, Inc. may seek injunctive relief, specific performance, and recovery of damages and costs (including reasonable attorneys’ fees) in enforcing its rights. Where permitted by law, Givepact, Inc. also reserves the right to suspend services or access immediately pending resolution of any suspected violation.
10. Third-Party Rights and Export
Participants remain responsible for ensuring their use of Ad Grants Pilot IP complies with applicable laws, export controls, privacy and data protection regulations, and third-party license requirements. Nothing in this policy grants rights in third-party content embedded or integrated with the service; Participants must obtain any necessary third-party permissions.
11. Amendments and Waivers
Givepact, Inc. may amend this policy from time to time by providing written notice to Participants. Material changes will be communicated at least 30 days in advance when practicable. No waiver of any provision of this policy is effective unless in writing and signed by an authorized representative of Givepact, Inc.

13. Severability and Governing Law
If any provision of this policy is found unenforceable, the remainder will remain in effect. This policy is governed by the laws of the State of Delaware, without regard to its conflicts of law principles.
14. Acknowledgement and Acceptance
By accessing Ad Grants Pilot IP as a Participant, the authorized representative of that Participant acknowledges and agrees as follows:
- They have received, read, and understand this Ad Grants Pilot IP Policy (the “Policy”), dated August 27, 2026.
- The Participant accepts and will comply with the Policy’s permitted uses, prohibited uses, white-labeling and attribution rules, confidentiality obligations, and other requirements.
- The Participant acknowledges that Givepact, Inc. is the sole owner of the Ad Grants Pilot IP and that the Participant’s rights are limited to the license described in the Policy.
- The Participant understands that breach of the Policy may result in termination of access, injunctive relief, damages, and other remedies described in the Policy.
- The Participant authorizes Givepact, Inc. to take the actions specified in the Policy on breach and to require corrective measures including, if applicable, removal of infringing materials and certification of compliance.
